SEC SECURES FOOTPRINT IN FUTURE
Safety and Ecology Corporation is acquired by HSCC
KNOXVILLE, TN Safety and Ecology Holdings Corporation (SEC) announced today that it has been acquired by Homeland Security Capital Corporation (HSCC), a hybrid strategic investor. HSCC (OTC Bulletin Board: HOMS), a company engaged in the acquisition, development and consolidation of homeland security-related businesses, announced Wednesday, March 19, 2008, that it acquired Knoxville-based SEC as part of HSCC’s strategy to capitalize on significant opportunities within the nuclear, construction, environmental infrastructure and homeland security industry.
This acquisition will allow HSCC and SEC to capitalize on significant opportunities within the global homeland security industry, including the chemical, biological, radiological and nuclear sectors, among others.
SEC will continue to remain a senior player in the small business category under NAICS code 562910, having fewer than 500 employees. The acquisition will not impact the operation of SEC, but will broaden and secure opportunities through its specialized technologies and worldwide reach. SEC will continue to provide the same services and meet all of its obligations under any and all agreements.
As part of this transaction, Christopher Leichtweis, founder and CEO of SEC, has been appointed President of HSCC and will join the HSCC board of directors. The SEC management team will continue to operate substantially in the same manner since Leichtweis will continue serving as CEO of SEC.
Leichtweis, said, “We see this acquisition as an extremely positive move for our clients offering new technology and capability in our world wide network. The synergies between our organizations are significant, allowing client access to true innovative solutions within our industry.”
“With SEC as a platform company, this transformational acquisition establishes HSCC in the nuclear, construction and environmental services space,” said C. Thomas McMillen, Homeland Security Capital Chairman and CEO. “Additionally, the combination of SEC’s deep industry knowledge and experience coupled with our current subsidiary Polimatrix’s proprietary nuclear detection technology should create significant opportunities for growth and expansion.”
Leichtweis said, “We look forward to working with Tom and his team to build the company’s shareholder value. This acquisition positions SEC for numerous federal and private sector opportunities and continued Homeland Security growth in an expanded market environment that will include increased participation in the first response (CBRN), defense and security market place. SEC’s 17 years of experience within the United States and Europe merged with HSCC’s contacts and resources will lead to tremendous shared growth.”
